Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of MigrateFlow ("the Service"), a web-based content migration tool operated by Ember and Oak Web Design ("we", "us", "our"). By creating an account, subscribing, or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of the Service

MigrateFlow enables users to migrate, transfer, and synchronise content between content management systems, including WordPress and Webflow. The Service provides a guided workflow to connect source and destination sites, map fields, select items, and execute migrations via third-party APIs (Webflow API, WordPress REST API).

3. Account Registration

You must create an account with a valid email address to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use of your account.

4. Subscriptions and Payments

Access to the Service requires a paid subscription or a valid promotional coupon code. Payments are processed through Paddle. By subscribing, you also agree to the applicable payment provider's terms of service.

  • Billing cycle. Subscriptions are billed on a recurring basis (monthly or annually) as indicated at the time of purchase.
  • Automatic renewal. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
  • Price changes. We may change subscription prices upon reasonable notice. Existing subscribers will be notified before any price change takes effect for their next billing cycle.
  • Taxes. All fees are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable taxes in your jurisdiction.

5. Cancellation and Refunds

You may cancel your subscription at any time from your account page. Upon cancellation, you will retain access to the Service until the end of the current paid billing period. No partial or prorated refunds are issued for the remaining time in a billing cycle.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to gain unauthorised access to any part of the Service, other accounts, or third-party systems.
  • Transmit any content that infringes upon the intellectual property rights of others.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated means (bots, scrapers) to access the Service beyond its intended functionality.
  • Resell, sublicence, or redistribute the Service without our prior written consent.

7. Your Content and Data

You retain full ownership of all content you migrate using the Service. We do not claim any intellectual property rights over your content. You are solely responsible for the legality, accuracy, and appropriateness of all content you process through MigrateFlow.

The Service accesses your source and destination sites using API credentials that you provide. These credentials are used only to perform the requested migrations and are not stored permanently on our servers. Saved site configurations (site IDs and tokens) are stored in your account for convenience and can be deleted at any time.

8. Third-Party Services

MigrateFlow integrates with third-party services including Webflow, WordPress, and Paddle. Your use of these services is subject to their respective terms. We are not responsible for the availability, accuracy, or policies of any third-party service. Changes to third-party APIs may affect the functionality of MigrateFlow, and we do not guarantee uninterrupted compatibility.

9. Service Availability and Modifications

We strive to maintain high availability but do not guarantee that the Service will be uninterrupted, error-free, or available at all times. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will make reasonable efforts to notify subscribers of material changes.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • We are not responsible for any data loss, corruption, or unintended modifications resulting from migrations you initiate. You are advised to back up your content before performing any migration.
  • Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ember and Oak Web Design, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Privacy

Your privacy is important to us. We collect and process personal data (such as your email address and usage data) as necessary to provide the Service. We use Supabase for authentication and account management. Analytics data may be collected via Google Analytics. We do not sell your personal data to third parties. 13. Intellectual Property

The Service, including its design, code, branding, and documentation, is the intellectual property of Ember and Oak Web Design and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your active subscription.

14. Termination

We may suspend or terminate your account at our discretion if you violate these Terms or engage in activity that is harmful to the Service or other users. Upon termination, your right to access the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including but not limited to Limitation of Liability, Indemnification, and Governing Law) will continue to apply.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of South Africa.

16. Changes to These Terms

We reserve the right to update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify you via email. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
